This agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:

The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Confirmation signed by the two parties hereto.
5 付款
訂單確認后，乙方須按照有關確認書所規定的時間開立以甲方為受益人的保兌的、不可撤消的即期信用證。乙方開出信用證后，應立即通知甲方，以便甲方準備交貨。
Payment
After confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C a vailable by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party B shall also notify Pary A immediately after L/C is opened, so that Party A can get prepared for delivery.
6 傭金
在本協議期滿時，乙方完成了第二款所規定的數額，甲方當按裝運貨物所受到的全部發票金額付給乙方_____%的傭金。
Commission
Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B_____% commission on the basis of the aggregate amount of the invoice value already paid by Party B of the shipments effected.
7 市場情況報告
乙方每三個月向甲方提供一次有關當時市場情況和用戶意見的詳細報告。同時，乙方應隨時向甲方提供其它供應商所給的類似商品的樣品及其價格、銷售情況和廣告資料。
Reports on Market Conditions
Party B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to Party A samples of similiar commodities offered by other suppliers, together with their prices, sales informaiton and advertising materials.
8 宣傳廣告費用
在本協議有效期內，乙方在上述經銷地區內所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。
Advertising & Publicity Expenses
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and / or drawings and description for prior approval.
9 協議有效期
本協議由雙方簽字后生效，有效期_____年，自_____至_____。若一方希望延長本協議，則須在本協議期滿前一個月書面通知另一方，經雙方協商決定。
若協議一方未履行協議條款，另一方有權終止協議。
Validity of Agreement
This agreement, after its being signed by the parties concerned shall remain of in force for_____as from _____ to _____ If either party wish to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.

10 仲裁
在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
11 其它條款
（1） 甲方不得向經銷地區其它買主供應本協議所規定的商品，如有詢價，當轉給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄給乙方，并按所達成交易的發票金額給乙方_____%的傭金。
（2） 若乙方在_____月內未能向甲方提供至少_____的訂貨，甲方不承擔本協議的義務。
（3） 對雙方政府間的貿易，甲方有權按其政府的授權進行有關的直接貿易，而不受本協議的約束。乙方不得干涉此種直接貿易，也無權向甲方提出任何補償或傭金要求。
（4） 本協議受簽約雙方所簽定的銷售確認條款的制約。
11 Other Terms&Conditions
(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct enquiries, if any , will be referred to Party B. Howerver, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmaiton and give party B_____% commission(s) concluded.
(2) Should Party B fail to pass on his orders to Party A in a period of _____ months for a minimum of _____, Party A shall not bind himself to this Agreement.
(3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party A's government without binding himself to this Agreement. Party B shall not interfere in such direct dealings, nor shall Party B bring forward any demand for compensation therefrom.
(4) This Agreement shall be subject to the terms and conditions in the Sales Confirmation signed by both parties hereto.

第四條 設備質量
按本合同所供設備的質量應符合生產廠家的技術條件。如生產廠家有保證書，應用保證書加以確認。
第五條 合同價格和支付條件
所供設備的總額為＿＿＿＿美元（CIF價）。購方應在合同簽定后的＿＿天內開立以供方為受益人的不可撤銷的保兌信用證。該信用證在開立時起的＿＿天內有效。
開證行應為獨聯體外經銀行或日本、南韓、西歐、美國、加拿大的某家銀行。
一切與在開證行開立信用證有關的費用由購方承擔，而一切與議付行收取信用證有關的費用由供方承擔。
支付在向議付行提交下列單據后進行：
1）發貨帳單（3份）
2）海運提單
3）裝箱單
4）保險單
第六條 保證
供方保證所供設備在投入使用日起的＿＿＿＿個月內，但不超過發貨日起的＿＿＿＿月內正常工作。
第七條 不可抗力
在發生不可抗力情況致使合同一方不能全部或部分履行本合同的義務時，按此種不可抗力情況存在的時間推遲履行合同義務。
不可抗力情況是指雙方不能預見或預測的由于非常事件而出現的情況，即：影響履行所承擔義務的火災、風暴、地震和其它自然現象，以及戰爭、任何性質的軍事行動，各國政府的封鎖與制裁等。
因不可抗力情況而不能履行義務的一方，應在不可抗力情況發生和停止的20天內書面通知另一方關于其發生和停止的情況。收信人所在國郵局在收到通知函日加蓋的日期作為得悉該信息的日期。
協約雙方國商會出具的證明書將成為證明上述情況發生及延續時間的必要證據。
如有些情況延續3個多月，每一方都有權拒絕繼續履行本合同義務，同時任何一方都無權要求對方賠償可能發生的損失。
第八條 仲裁
所有可能由本合同而產生的糾紛或分歧均應由合同雙方友好解決。
相關的合同范本·辦公家具采購合同·水果(蘋果)采購合同·糧食競價采購合同·農副產品采購書·茶葉采購合同·食品采購合同·政府采購合同書·建材采購合同·木材采購（訂貨）合同如果無法解決糾紛，則該糾紛應提交莫斯科市原蘇聯工商會下設外貿仲裁委員會按其業務規章審理（提交一般法院審理者除外），該委員會的決定對于雙方為終審，必須執行。
第九條 通知
一切通知等雙方均應按本合同條件以書面形式進行。
第十條 語言
本合同用俄語書就。供方提供英文的全部技術資料和供貨單證。
第十一條 其它條件
自本合同簽署之日起，所有在此以前的有關談判和往來信函均告失效。
對本合同的任何修改和補充只有在以書面形式形成并經雙方有關全權代表簽字后方能生效。
任何一方都無權在未征得對方書面同意之前將自己對合同的權利和義務轉讓給第三者。

(1) 甲方不得向經銷地區其他買主供應本協議所規定的商品。如有詢價，當轉達給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄給乙方，并按所達成交易的發票金額給予乙方*％的傭金。

第七條保證和索賠
賣方在提供的商品投入使用之后12個月內保證商品質量，但不超過供貨之日起18個月。
對貨物品質的異議應在發現缺陷后3 個月內提出，如在保證期發現缺陷，索賠日期不能遲于保證期結束后30天。
如商品在保證期內出現缺陷，供貨一方排除缺陷或更換有缺陷的部分并負擔費用。
第八條發貨通知
售方應在發貨后10天內以電傳向購方通知有關貨物自生產廠發運的情況，并注明發運日期、合同號、發動機號、件數、毛重和鐵路運單號。
第九條仲裁
由本合同所產生或與本合同有關的一切糾紛，應盡可能通過雙方談判解決。如雙方不能達成協議，提交被告國對外貿易仲裁機構審理。
第十條不可抗力條款
雙方任何一方發生不可抗力情況(如火災、自然災害、各種軍事行動、封鎖、禁止進出口或不以雙方意志為轉移的其他情況)，使本合同全部或部分義務無法履行時，履行本合同義務的期限可相應推遲，在此期間合同義務仍然有效。
如果不可抗力情況持續30天以上，其中一方有權通知另一方免除繼續履行合同義務，此時任何一方無權向對方提出補償可能的損失。
無法履行本合同義務方應將不可抗力情況發生和結束及影響合同義務履行情況立即通知對方。
不可抗力發生和持續的時間應以售方或購方有關商會出具的證明書證明。
第十一條其他條件
本合同未盡事宜，雙方均按____________辦理。

the packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. the seller shall be liable for any damage and loss of the goods attributable to the inadequate or improper packing. the measurement, gross weight, net weight and the cautions such as "do not stack up side down", "keep away from moisture", "handle with care" shall be stenciled on the surface of each package with fadeless pigment.

13. 付款條件(terms of payment)：
(1) 信用證方式：買方應在裝運期前/合同生效后__日，開出以賣方為受益人的不可撤銷的議付信用證，信用證在裝船完畢后_____日內到期。

15. 裝運條款(terms of shipment)：
(1) fob交貨方式
賣方應在合同規定的裝運日期前30天，以____方式通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物越過船弦并脫離吊鉤以前一切費用和風險由賣方負擔。

16. 裝運通知(shipping advice)：
一俟裝載完畢，賣方應在______小時內以______方式通知買方合同編號、品名、已發運數量、發票總金額、毛重、船名/車/機號及啟程日期等。

17. 質量保證(quality guarantee)：
貨物品質規格必須符合本合同及質量保證書之規定，品質保證期為貨到目的港__個月內。在保證期限內，因制造廠商在設計制造過程中的缺陷造成的貨物損害應由賣方負責賠償。

18. 檢驗(inspection)(以下兩項任選一項)：
(1)賣方須在裝運前______日委托_________檢驗機構對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托____________檢驗機構進行檢驗。
the seller shall have the goods inspected by ______ days before the shipment and have the inspection certificate issued by____. the buyer may have the goods reinspected by ________ after the goods,rrival at the destination.
(2) 發貨前，制造廠應對貨物的質量、規格、性能和數量/重量作精密全面 的檢驗，出具檢驗證明書，并說明檢驗的技術數據和結論。貨到目的港后，買方將申請中國商品檢驗局(以下簡稱商檢局)對貨物的規格和數量/重量進行檢驗，如發現貨物殘損或規格、數量與合同規定不符，除保險公司或輪船公司的責任外，買方得在貨物到達目的港后__日內憑商檢局出具的檢驗證書向賣方索賠或拒收該貨。在保證期內，如貨物由于設計或制造上的缺陷而發生損壞或品質和性能與合同規定不符時，買方將委托中國商檢局進行檢驗。
the manufacturers shall, before delivery, make a precise and comprehensive inspection of the goods with regard to its quality, specifications, performance and quantity/weight, and issue inspection certificates certifying the technical data and conclusion of the inspection. after arrival of the goods at the port of destination, the buyer shall apply to china commodity inspection bureau (hereinafter referred to as ccib) for a further inspection as to the specifications and quantity/weight of the goods. if damages of the goods are found, or the specifications and/or quantity are not in conformity with the stipulations in this contract, except when the responsibilities lies with insurance company or shipping company, the buyer shall, within _____ days after arrival of the goods at the port of destination, claim against the seller, or reject the goods according to the inspection certificate issued by ccib. in case of damage of the goods incurred due to the design or manufacture defects and/or in case the quality and performance are not in conformity with the contract, the buyer shall, during the guarantee period, request ccib to make a survey.
19. 索賠(claim)：
買方憑其委托的檢驗機構出具的檢驗證明書向賣方提出索賠(包括換貨)，由此引起的全部費用應由賣方負擔。若賣方收到上述索賠后______天未予答復，則認為賣方已接受買方索賠。
the buyer shall make a claim against the seller (including replacement of the goods) by the further inspection certificate and all the expenses incurred therefrom shall be borne by the seller. the claims mentioned above shall be regarded as being accepted if the seller fail to reply within ______days after the seller received the buyer's claim.
20. 遲交貨與罰款(late delivery and penalty):
除合同第21條不可抗力原因外，如賣方不能按合同規定的時間交貨，買方應同意在賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每__天收__%，不足__天時以__天計算。但罰款不得超過遲交 貨物總價的____ %。如賣方延期交貨超過合同規定__天時，買方有權撤銷合同，此時，賣方仍應不遲延地按上述規定向買方支付罰款。
買方有權對因此遭受的其它損失向賣方提出索賠。
should the seller fail to make delivery on time as stipulated in the contract, with the exception of force majeure causes specified in clause 21 of this contract, the buyer shall agree to postpone the delivery on the condition that the seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. the rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. but the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. in case the seller fail to make delivery ______ days later than the time of shipment stipulated in the contract, the buyer shall have the right to cancel the contract and the seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the buyer without delay.

21. 不可抗力(force majeure)：
凡在制造或裝船運輸過程中，因不可抗力致使賣方不能或推遲交貨時，賣方不負責任。在發生上述情況時，賣方應立即通知買方，并在__天內，給買方特快專遞一份由當地民間商會簽發的事故證明書。在此情況下，賣方仍有責任采取一切必要措施加快交貨。如事故延續__天以上，買方有權撤銷合同。
the seller shall not be responsible for the delay of shipment or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit. the seller shall advise the buyer immediately of the occurrence mentioned above and within_____ days thereafter the seller shall send a notice by courier to the buyer for their acceptance of a certificate of the accident issued by the local chamber of commerce under whose jurisdiction the accident occurs as evidence thereof. under such circumstances the seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. in case the accident lasts for more than _____ days the buyer shall have the right to cancel the contract.
22. 爭議的解決 (arbitration):
凡因本合同引起的或與本合同有關的任何爭議應協商解決。若協商不成，應提交中國國際經濟貿易仲裁委員會深圳分會，按照申請時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。
any dispute arising from or in connection with the contract shall be settled through friendly negotiation. in case no settlement is reached, the dispute shall be submitted to china international economic and trade arbitration commission (cietac),shenzhen commission, for arbitration in accordance with its rules in effect at the time of applying for arbitration. the arbitral award is final and binding upon both parties.
23. 通知(notices):
所有通知用______文寫成，并按照如下地址用傳真/電子郵件/快件送達給各方。如果地址有變更，一方應在變更后______日內書面通知另一方。

25. 附加條款 (additional clause)：
本合同上述條款與本附加條款抵觸時，以本附加條款為準。

商品質量應由售方國生產者或售方國商檢機關出據的品質證明書證明之。
購方在本合同供貨結束后，仍將標準樣品保存六個月。
六、包裝和標記
包及標記應保證貨物在運輸和可能發生的換裝時的完好無損，同時應保護貨物免受氣候的影響。
包裝應符合本合同附件中規定的要求。
每件貨物或貨簽上應以不易抹掉的顏色用中、_________文刷下列標記：合同號、貨件號、毛重、凈重、包裝箱尺寸（厘米）、品名及貨號、運輸號、收貨人和發貨人。
包裝箱高度超過1米時，應標上重心符號和字母“цt”。
標記應符合國際貨協要求并且應刷寫在包裝箱兩側（側面，最好在端面）。
每箱貨物應附有詳細的裝箱單，上面注明品名、貨號、規格、數量、箱（包）號。
七、發運程序
發貨時，售方應隨鐵路運單附下列單據：
1．發貨明細單2份（明細單標明合同號、協議書及附件號）；
2．品質證明書1份；
3．裝箱單1份；
售方應自發貨之日起七天內用電報或信函將下列事項通知購方：合同號、品名、件數、發貨日期、車號、運單號、收貨人。
售方負責將按本合同售出的貨物運達指定交貨地點。
貨物的所有權以及可能發生的風險或破損的責任，從貨物自售方國鐵路交給購方國鐵路時起，即由售方轉至購方。
八、其它條件
任何一方無權在未取得另一方書面同意的情況下將本合同的權利和義務轉交給第三方。
本合同的任何更改和補充都應以書面形式進行并由雙方簽字。
本合同簽定后，一切談判及在此之前進行的與合同有關的一切來往信函均告失效。
領取進口／出口許可證由買方／賣方負責。
本合同在雙方取得進口／出口許可證后生效。

2.蓋有發貨站戳記的鐵路運單副本1份;
3.明細單2份;
4.品質證明書1份。
購方接到上述單據核對無誤后給售方出以等值易貨貿易結算憑證予以確認。
第四條 包裝
賣方應在包裝貨物時采取所有預防措施以保證貨物在儲存、海運、陸運、吊裝時完好無損。
第五條 商品的品質和保證
所供商品的品質應由品質證明書加以確認，該證書確認商品品質符合生產國的技術條件和國家標準。
所供商品的品質性能應與標準樣品相一致，標準樣品在簽定合同時交給買方，在保證期內留存買方并在對供貨品質發生爭議的情況下供雙方使用。
保證期為供貨后9個月。
第六條 索賠
購方可按________________(兩國貿易文件或協定)所規定的期限和程序在下列方面提出索賠。
1.貨物的數量
如貨物數量與明細單注明的數量不符，在包裝完整和沒有外部損傷(內部短缺)的情況下，購方有權憑檢驗證書提出索賠。
如果貨物的發運系按發貨人確定的重量發出，而國境交接站雙方鐵路交接中發現不足，并不屬鐵路方面的過失，可根據雙方鐵路方面編制的商務記錄提出索賠。
2.貨物的質量
如貨物品質與合同規定不符時，可根據商品檢證或無利害關系的權威機關的代表參與制成的記錄提出異議。
如售方所供貨物的品質，不符合合同規定的技術條件或與雙方確認的樣品不符時，購方有權要求售方或者削價、或者更換貨物。如果售方自收到異議之日起60天內不作最后決定，或不同意檢驗證書中確定的削價百分比時，則購方有權將品質不合格的貨物按售方提供的地址退給售方。售
方應在本合同規定的異議審理期限內將退貨地址通知購方。
如果在每批貨物中發現殘次品占20%以上，收貨人則將退回全部貨物。由于質量原因退回貨物時所產生的全部費用由售方承擔。
在這種情況下，售方沒有免除向購方補發數量相同并符合合同規定的貨物責任。
在終點站檢驗貨物的數量和/或質量所需要的一切費用由購方承擔。
第七條 不可抗力條款
由于發生不可抗力情況，而直接影響本合同的履行時，售方對本合同受不可抗力影響的部分義務或全部義務無法履行的責任不予承擔。經雙方協商，履行本合同義務的期限也可相應推遲。發生不可抗力情況一方應自災情結束之日起10日內將有關發生不可抗力的性質、毀壞程度及影響合
同履行的情況書面通知對方。如對方有異議，發生不可抗力情況一方憑其所在國有權機關的認證書豁免責任。
第八條 仲裁
由本合同所產生或與本合同有關的一切糾紛，應盡可能通過雙方談判解決。如雙方不能達成協議，則提交____國對外經濟貿易仲裁機關仲裁。

第一條 合同標的

買方應在本合同簽訂后20個工作日內開立以賣方為受益人、不可撤銷的、可分割的、可轉讓的跟單信用證。該信用證的總金額在合同第二條中載明，其有效期至少80天。
信用證由賣方選擇的、法律上承認的________銀行開立并確認。以信用證付款憑賣方向銀行提交以下單據進行：
________發票一式三份;
________全套買方名義下的運輸單;
________包裝單一式三份;
________本合同副本;
________在買方國境內的一切銀行費用由買方負擔，在買方國境外的一切費用由賣方
負擔。
第七條 商品的交接
所有商品應由檢查人員進行必要的數量和品質檢查。
檢查人員的結論是最終結論，買賣雙方不得對此有爭議。
余下部分買方可以拒收和退還，買方應單獨保管其拒收的商品，并對此承擔責任，便于賣方、供貨人和檢查人員進行可能的檢查。如果確定拒收成立，對商品的責任自動轉移給賣方，由賣方自行決定商品的處理，商品的保管費由供貨人支付。
第八條 保險
根據上文第二條由________對商品在運抵________港之前進行保險。
第九條 品質保證
商品品質應符合清單No1。買方沒有義務接收不符合清單No1的商品。
買方可以不加解釋和不出示證據退還未被接收的商品(見下文第十條)。
根據下文第十條，賣方應在收到買方理由充分的索賠時起30天內如數更換未被接收的商品，以保證完全按照本合同規定運送貨物。
第十條 索賠
商品運到時，買方有權就商品的數量向賣方提出索賠(見第七條)，反之，買方接收共同指定的檢查員確定的數量的商品。買方可以就商品品質不合格向賣方提出索賠。所有運抵的商品如果沒有以適當的方式拒收或退回，都被認為買方已經接收。
有充分理由退還的拒收商品都被認為賣方供貨不足，同時免除對買方就拒收商品的支付或賠償提出任何異議。檢查員最終確定有充分理由拒收和退回商品的數量。
在商品原封不動或無損壞退還賣方的情況下，未超出檢查員確定的界限的商品的拒收，無需經商品不合格證明，在規定的期限內，根據必需的手續，應由賣方無條件承認。
買方索賠函用掛號信寄給賣方。
就某一批商品提出索賠，不能成為雙方拒收和拒付根據本合同所規定的其他供應商品的理由。
第十一條 不可抗力
出現不可抗力，即火災、自然災害、封鎖、禁止進出口和其他合同雙方人力不可抗拒的情況造成合同某一方不能完全或部分履行合同義務時，按不可抗力與其后果存在的時間推遲履行合同義務。
如果上述情況與其后果持續達三個月以上，任何一方都有權拒絕履行本合同項下的義務。在此情況下，任何一方都無權要求補償可能的損失。
由不可抗力造成不能履行合同義務的一方應盡快將妨礙履行義務的不可抗力的出現和終止情況通知另一方。由賣方或買方國有關商會出具的證明是上述不可抗力情況出現的必需證明。
第十二條 罰則
如違反本合同規定的貨物抵達期限，賣方應向買方支付罰金。罰金數額規定如下：
1.在最初三周內每過期一個日歷周支付未交商品總金額的1%;
2.以后每過期一個日歷周支付未交商品總金額的2%，但罰金總額不能超過未交商品總金額的15%。
第十三條 其他條件
任何一方在沒有征得另一方書面同意的情況下不得將自己對本合同的權利和義務轉讓給第三者。
對合同的一切修改和補充意見只有以書面形式形成并經雙方簽字后才有效。
在買方國境內的一切費用和規費，包括海關規費和關稅，與訂立、履行本合同有關的費用，由買方承擔，在買方國境外，則由賣方承擔。
本合同用________兩種文字書就，兩種文本具有同等法律效力。
第十四條 仲裁
由本合同派生或與本合同有關的一切爭議和分歧由國際仲裁機構審理。
